Terms of Service

1. Acceptance of Terms
These Terms of Service ("Terms") are a legal agreement between you and ListDeed, Inc. ("ListDeed", "we", "us"), governing your access to and use of ProviderHub (providerhub.listdeed.com) and all related services and APIs (collectively, the "Platform").
By creating an account or using the Platform you confirm you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Platform.
2. Eligibility
- You must be at least 18 years old
- You must have the legal capacity to enter into binding contracts in your jurisdiction
- If registering on behalf of a business, you must have authority to bind that business
- You must not have had a prior ProviderHub account suspended for a violation of these Terms
3. Provider Accounts
3.1 Registration
You agree to provide accurate, complete, and current information during registration and to keep your account details up to date. You are responsible for maintaining the security of your account credentials and for all activity under your account.
3.2 Services and Pricing
You set your own prices. ListDeed does not suggest, cap, or mandate the rates you charge for your services. You are solely responsible for ensuring your pricing complies with any applicable laws (including minimum wage, licensing, and tax regulations in your jurisdiction).
3.3 Accurate Representation
You agree that all information on your profile — credentials, certifications, insurance, reviews, and service descriptions — is accurate and not misleading. ListDeed may verify credentials and may suspend accounts found to contain false information.
4. Platform Fees
ListDeed charges a platform fee as a percentage of the total booking value upon each completed booking. The applicable fee percentage is determined by your active plan (see Pricing). A booking is "completed" when the client confirms the service is done or after the 48-hour auto-confirm window elapses.
Cancelled bookings incur no platform fee. Disputed bookings are held in escrow pending resolution; the platform fee applies only if the dispute resolves in the provider's favor.
Monthly subscription fees (if applicable) are charged at the start of each billing period and are non-refundable except where required by law.
5. Payments and Payouts
Payments are processed by Stripe, Inc. By accepting payments through ProviderHub you also agree to Stripe's Connected Account Agreement. Payouts are issued within 2 business days after a booking is completed, subject to Stripe's standard verification requirements.
You are responsible for all taxes arising from your use of the Platform. ListDeed may issue tax forms (e.g. 1099-K) where required by law. You agree to provide accurate tax information when requested.
6. Client Relationships
The contract for services is between you (the provider) and your client. ListDeed is not a party to that contract. We provide the Platform as a marketplace facilitator only. Any disputes regarding the quality, delivery, or terms of the services themselves must be resolved between you and the client, subject to the dispute resolution process in Section 9.
7. Prohibited Conduct
You must not:
- Circumvent the Platform to transact with clients you met through ProviderHub outside of the booking system
- Post false reviews, pay for reviews, or manipulate the review system in any way
- Harass, threaten, or discriminate against clients, other providers, or ListDeed employees
- Use the Platform for any illegal purpose
- Attempt to reverse-engineer, scrape, or overload the Platform's infrastructure
- Impersonate another person or entity
8. Intellectual Property
You retain ownership of content you post (photos, descriptions, messages). By posting, you grant ListDeed a non-exclusive, worldwide, royalty-free licence to use, reproduce, and display that content solely for operating and improving the Platform. We will not sell your content to third parties.
The ProviderHub name, logo, and all ListDeed trademarks are the property of ListDeed, Inc. You may not use them without prior written permission.
9. Dispute Resolution
If a client disputes a completed booking, ListDeed will place the disputed payout amount in escrow. Both parties will be given 5 business days to provide evidence. ListDeed will make a good-faith determination within 10 business days. Our decision in the dispute process is final for amounts under $500. Larger disputes may proceed to arbitration.
All claims arising from these Terms shall be resolved by binding arbitration under the AAA Consumer Arbitration Rules, except where prohibited by law. You waive your right to a jury trial for all covered claims.
10. Limitation of Liability
To the maximum extent permitted by law, ListDeed's total liability for any claim arising out of these Terms is limited to the platform fees you paid to us in the 3 months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages.
11. Termination
Either party may terminate these Terms at any time. You may close your account from account settings. ListDeed may suspend or terminate your account for violation of these Terms, with or without notice. Upon termination, sections relating to payments, intellectual property, dispute resolution, and limitation of liability survive.
12. Changes to These Terms
We may update these Terms. We will notify you at least 14 days before material changes take effect. Continued use of the Platform constitutes acceptance of the updated Terms.
13. Governing Law
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles.
